Web Development Agreement
The client understands that they are hiring Web Presence Designs, as a freelance developer, for the purpose of developing a website to be published on a web host with a domain provided by the client.
•The client authorizes Web Presence Designs to setup and/or obtain access to your web-host, domain accounts, or any other programs/software that will be needed to complete the project that are included as part of your service requests. PLEASE KEEP YOUR HOSTING COMPANY ACCOUNT LOGIN AND PASSWORD INFORMATION IN A SAFE PLACE SO THAT YOU HAVE THEM IF NEEDED.
• Throughout the development cycle of the client’s website, the client can view the work-in-progress on a preview site or the client’s own hosting site. The client is expected to give feedback during the development stages and the changes will be made accordingly. The client agrees to be prompt in providing comments, instructions, as well as content for the website. By maintaining contact it allows the developer and the client to stay up-to-date on the progress of the website as well as keep costs low.
• The client agrees that any information related to the design, layout, programming, any images or mock ups that the client would like for Web Presence Designs to follow, they must be submitted at the inception of the project. A design will not be modified once approval is given to move forward. This will also prevent the client from paying extra charges.
• The client guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork submitted to Web Presence Designs for use in the Client’s project legally belong to the Client. Web Presence Designs is not liable for the use of any graphics obtained from the Client.
• All graphics submitted by the Client is responsibility of the Client’s. The Client must submit to Web Presence Designs any graphics necessary for the project. Web Presence Designs suggests that the Client keeps a copy of the original in a safe place.
The Client understands that maintenance is not included in this agreement. Any additional work needed for the website will be billed in 15 minute increments at $60 per hour.
• The Client will select the completion date. This date is a date that Web Presence Designs keeps in mind while developing the Client’s web presence. Since this date is provided by the Client, it is expected that the Client is prepared with all necessary materials needed to complete the project by the date selected by the Client. The Client understands that these dates are important to Web Presence Designs as there are also many other projects that are in the queue to be completed by a date and could possibly lead to the Client’s project being put to the side so that not to hamper the progress of another Client’s project. The client understands that if this happens, there will be a project activation fee of $100 due immediately before the project is reactivated.
• Delivery of the project will occur at the time of the final payment. The project will be uploaded to the Client’s web host. Web Presence Designs does not own any rights to your project.
PAYMENTS & PAYMENT SCHEDULE
The Client understands the following payment schedule:
• First Payment - A payment in the amount of 50% of the total estimated in advance is required to start the project. If the project is less than $200, the amount due is to be paid in full.
• Final Payment - At the completion of the shell/layout of the website the final payment is due. Web Presence Designs wants the Client be happy with their website. If you have questions or concerns let Web Presence Designs know.
• EXCEPTIONS: Unless an agreement has been made ahead of time that includes the payment structure, the final payment is always required at completion of the project. You agree payments will be made promptly, and in the event collection proves necessary, you agree to pay all fees (including attorney’s fees and court costs) incurred by that process if needed. Web Presence Designs takes collection of debt seriously and we will follow course.
• The Client understands that if the Client has selected Web Presence Designs to host their website, the first year fee will be included with your design. The following years will be billed to the Client on the Client’s anniversary date. Hosting with Web Presence Designs is non-refundable. The client agrees that if Web Presence Designs hosts their site they are limited to the features included in their site and may not add on additional sites.
• The client understands that once the project begins, and the client has agreed on the layout of the website, the website is essentially done and payment is DUE.
• The client understands that they are free to seek web hosting but a consult with the developer would assist the client in picking the right package for them for the size of their project and their budget.
• Change of layout after the client has agreed to the layout, requires the client to pay an hourly fee billed at $60 per hour in 15 minute increments.
• The Client understands that Web Presence Designs cannot be held liable for the Client’s business website once it is complete. The client will be solely responsible for reading/understanding their hosting company's terms of service, and for remembering that the Client’s web hosting and domain service fees must be paid each year or your account at the host company, and the registration of your domain will expire and there may be penalties charged in order to restore those services.
• The Client is also solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the project or any other services contemplated herein.
• Web Presence Designs reserves the right to discretely display my logo graphics on the Client’s website or links to showcase web design elements as examples of work in Web Presence Designs’ portfolios. All web design projects will contain a link to Web Presence Designs’ web site as the designer/developer. If at some future date you have someone else alter the design developed by Web Presence Designs, the Client agrees to allow Web Presence Designs to remove the developer’s name from the site and notify Web Presence Designs so that the developer can remove the Client’s website from the developer’s portfolio.
LEGAL NOTICE
• Web Presence Designs cannot warrant that the functions contained in the web design project will be uninterrupted or error-free for any of the outside service providers such as internet or domain companies which are all beyond my control. It's up to the Client to read the terms of service at whatever hosting company the Client elects to use.
• The Client certifies that he or she is at least 18 years of age and legally capable of entering a contract on behalf of the Client.
• The Client agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Developer.
• Client hereby agrees to indemnify and hold harmless the Developer from any claim resulting from the Client's publication of material or use of those materials.
• Web Presence Designs agrees that if services are cancelled by either party, Client is entitled to a refund minus any billable hours not used in excess of what has been paid to Web Presence Designs. Web Presence Designs’ hourly rate is $60 (billed in 15 minute increments)
By signing the following form, you agree to the terms of the agreement. Also by agreeing to the terms, your initial payment is due. Following this email you will receive an invoice from Paypal detailing your payment amount. Along with a copy of this agreement
